The iconic founding trio of Natura, Luiz Seabra, Guilherme Leal, and Pedro Passos, announced that they will be stepping down from their roles on the company's Board of Directors to form an Advisory Board (read the details at this link).
Along with the announcement, the founders wrote a letter to the company's stakeholders. Read it below:
Hello, friends,
It is with profound satisfaction and a pounding heart that we address you to enthusiastically share a change of great significance in our individual journeys and in the life of this company for which we are passionate: Natura.
The current moment invites us to reclaim the prosperity we have always been able to build. It is this same transformative force that has brought us from a small shop on Oscar Freire Street to the present day, shaping this beautiful organization of which we are so proud.
We understand that, at this moment of transition from a cycle of simplification to a cycle of acceleration and innovation, a vigorous adjustment and renewal in our governance was necessary.
We have entered into a new Shareholders' Agreement for a term of 10 years, maintaining our shareholdings unchanged and reaffirming our strong commitment to the company's future.
Given this, we have made the decision to migrate from Natura's Board of Directors to an Advisory Board, which is purely advisory in nature and not deliberative.
We are talking here about the transition from a deliberative and management space to an environment focused on perpetuating Natura's ethical principles and values. We will be dedicated to preserving what is essential: innovation and memory.
We will remain very close to you, not to interfere, but to encourage and support this immense network of affection that is Natura. We will continue to follow the steps of the company's leadership, whether in the Advisory Board to be formed, or through participation in advisory committees that reflect our corporate philosophy.
With utmost confidence, we are appointing new leaders to the Board of Directors. A team imbued with immense energy. We are certain that this new generation arrives strengthened by our culture, fully capable of innovating and guiding Natura along this luminous path, which began 56 years ago and is now entering a new cycle.
Natura will keep alive the spirit that has brought it this far. Our company has a vital need to bring together people who share the same dreams, such as the genuine desire to help the world and to cultivate a work environment that is, in every sense, extraordinary.
We continue to believe that companies can and should act as true agents of transformation. We know that to fulfill this role, organizations need to be very successful from the point of view of generating economic value. But we are convinced that purely financial success is absolutely insufficient. Companies can and should be, above all, builders of social and environmental value.
We are extremely confident that this vigorous evolution of governance will safeguard Natura's culture and values and will have the necessary skills to support the current business moment and the execution of our strategy. We will remain attentive to the company's current situation and our plans for the future, certain that we will achieve them.
We are immensely grateful for the support and trust of everyone who has been and continues to be with Natura throughout this journey – customers, consultants, employees, suppliers, and investors. We will be together at the next Sales Convention, in the Natura aisles, or at some ritual of this vibrant business that so delights us and nourishes our souls.
May life always protect and illuminate the path of each one of you.
Luiz Seabra, Guilherme Leal and Pedro Passos
