Claro , one of the leading telecommunications operators in the Brazilian market, announced that, in a meeting held this Monday, December 15th, the company obtained approval for a debenture issuance worth R$ 3 billion.

In a statement regarding the assembly, the company informed that the offering will involve the issuance of three million simple debentures, of the unsecured type, not convertible into shares, in a single series, with a unit nominal value of R$ 1,000.

According to the company, the net proceeds raised will be used for financing, future payments or reimbursement of costs and expenses, and/or amortization of financing for the telecommunications infrastructure investment project submitted last week to the Ministry of Communications.

The operator noted that a portion of this amount may be allocated to the payment of fees and expenses related to the costs of this project, provided that these amounts were incurred within a period equal to or less than 36 months from the date of publication of the announcement of the closing of the offer.

The group also highlighted that the debentures will be deposited for distribution in the primary market, with an issuance date of January 15, 2026. And that the maturity period will be ten years, starting from that date.

The approval of the issuance comes in parallel with news reports indicating progress by Claro in talks to acquire Desktop , an internet provider listed on the B3 stock exchange, which, in October of this year, confirmed in a statement that it had held preliminary non-binding talks with the operator.

While navigating this space, Claro is also increasing its debenture issuance volumes in the country, an alternative that has been gaining traction in a scenario of high interest rates and a still-restricted capital market.

Desktop itself helped to move these needles. In September, the company's board of directors approved an R$800 million bond issuance. A month earlier, another operator, Algar Telecom, announced a R$400 million offering.

This practice is not, of course, limited to the telecommunications world. Also in September, C&A announced a R$ 300 million offer to improve its debt profile. Then in October, Sabesp approved an even more robust debenture issuance, worth R$ 5 billion.

The first half of the year was also marked by the search for this option in other segments. Car rental companies Localiza and Movida , for example, announced issuances of R$1 billion and R$750 million, respectively, in June.

There are also more examples of billion-dollar offerings. In May, Vale approved an issuance worth R$ 6 billion, in three series, with terms of seven, ten, and twelve years. During the same period, Petrobras registered an offering of simple debentures worth R$ 3 billion, in up to three series.

A month earlier, another retail company announced a billion-dollar bond issuance. In early April, Magazine Luiza announced the registration of a bond issuance worth R$ 1 billion, intended for the "ordinary management of the company's business."
