A joint venture between Totvs and B3 , Dimensa , a Brazilian company specializing in financial product and service infrastructure, has a new owner: the Puerto Rican group Evertec, best known for its work in the technology and payments market.

On Monday, February 2nd, Totvs announced that it has closed a deal to sell 100% of Dimensa's shares for an equity value of R$ 1.4 billion – a figure resulting from the net cash position of the operation as of December 31, 2025, and an enterprise value of R$ 950 million.

In a relevant fact, Totvs informed that before closing the agreement with Evertec, in an "immediately preceding act," it entered into a contract to acquire the 37.5% stake held by B3 in Dimensa, for the amount of R$ 665 million, thus becoming the sole shareholder of the company.

Announced in July 2021 and officially created in October of the same year, Dimensa originated from some assets resulting from acquisitions made by Totvs between 2008 and 2009, within the Totvs Financial Services (TFS) division. These agreements involved approximately R$ 130 million in investment.

Following the formalization of the joint venture, Dimensa pursued this inorganic approach with a series of M&As . There were four deals in 2022 – InovaMind, Mobile2You, Vadu, and RBM. Subsequently, however, the company reduced this momentum.

In today's statement, Totvs emphasized that it had made it clear on several occasions that it would not be a shareholder of Dimensa in the future. And that the objective of unlocking the value of the operation was fully achieved with the transaction announced today with Evertec.

In translating this statement into numbers, the company highlighted that, with the announced agreement with Evertec, it will have an estimated return of 7.4 times the invested capital and an internal rate of return (IRR) of 18.3% per year since 2008.

At the same time, Totvs noted that the decision to sell the operation is part of its strategic plan to broaden its focus on growing its core operations, with the development of an integrated portfolio of cloud solutions and artificial intelligence.

“Additionally, we believe that Evertec is the right destination for Dimensa and that its stakeholders will be in good hands,” the company highlighted in the relevant fact about the transaction, which is still subject to approval by authorities and the closing of the agreement with B3.

If Dimensa emerged and gained scale through acquisitions, Evertec has also used this route to gain traction in Brazil. The group firmly established itself in the country in 2023 with the purchase of Sinqia , in a deal worth R$ 2.5 billion.

Subsequently, Evertec closed two other acquisitions in Brazil - PaySmart, a payments company, and Tecnobank, a digital registration company for vehicle financing contracts. In both deals, the company spent just over R$ 900 million.

Evertec has shares listed on the New York Stock Exchange and is valued at US$1.93 billion. Totvs, listed on the B3 (Brazilian stock exchange), has a market value of R$26.4 billion. The company's shares closed Monday's trading session up 1.12%, quoted at R$45.07.
